FinLink Master Terms of Service

Effective date: June 9, 2026

1. Acceptance of Terms; Relationship to Privacy Policy and Other Terms

These Master Terms of Service ("Terms") govern access to and use of FinLink, operated by Succession Link, LLC d/b/a FinLink ("FinLink," "we," "us," or "our"). FinLink provides a professional network and marketplace platform for the financial services community, including websites, mobile applications, dashboards, social feeds, direct messaging, member profiles, business directory pages, job postings, recruiting tools, M&A listings, succession and continuity opportunities, office space listings, advertising products, AI-enabled tools, calculators, simulations, analytics and enterprise or white-label services.

By visiting, accessing, registering for, purchasing, posting to, messaging through, listing on, advertising through, or otherwise using any part of the Services, you agree to be bound by these Terms and by the Privacy Policy. If you use the Services on behalf of a company, firm, RIA, broker-dealer, insurance organization, vendor, recruiter, advertiser, enterprise customer or other entity, you represent that you have authority to bind that entity and that the entity accepts these Terms.

These Terms are intended to preserve the existing protections in FinLink's prior terms while expanding them for FinLink 2.0. They are broad by design because FinLink now includes social networking, multiple marketplaces, AI-enabled functionality, directory products, advertising, analytics and enterprise deployments. If a signed written agreement with FinLink contains different terms, that signed agreement controls only for the specific customer, product and relationship covered by that agreement.

You may not use the Services if you do not agree to these Terms, if you are prohibited from using the Services under applicable law, if you are located in a jurisdiction where FinLink has restricted access, or if FinLink has previously suspended or terminated your account unless FinLink gives written permission.

  • These Terms include arbitration, class action waiver, warranty disclaimer, limitation of liability and indemnification provisions.

  • The Privacy Policy explains information collection, use, sharing, cookies, AI-related data use, CCPA/CPRA, GDPR and retention practices.

  • Enterprise, white-label, DPA, advertising or order form terms may supplement these Terms.

2. Definitions and Platform Scope

"Services" means all FinLink websites, apps, features, software, databases, dashboards, messaging tools, feeds, posts, comments, profile pages, listings, directories, job boards, marketplaces, valuation tools, AI agents, recommendation engines, calculators, simulations, benchmarking modules, advertising products, APIs, integrations, enterprise environments, white-label deployments, support channels, email notifications and related offerings.

"User Content" means information, text, images, logos, documents, files, posts, comments, direct messages, resumes, job descriptions, marketplace listings, business directory materials, advertisements, profile content, answers, prompts, feedback, ratings, preferences, practice information, revenue or AUM ranges, office space details, vendor descriptions and any other content submitted by or on behalf of a user.

"Platform Data" means data generated by operation of the Services, including metadata, logs, usage data, search history, clickstream data, impressions, rankings, response rates, message timestamps, matching signals, scores, recommendations, engagement metrics, analytics, aggregated benchmarks, de-identified datasets and derived insights.

"Enterprise Customer" means an organization that purchases or accesses a firm-level, white-label, private marketplace, administrative, compliance, SSO, analytics, branded or multi-user version of the Services.

3. Eligibility, Authority and Account Registration

The Services are intended for individuals who are at least eighteen years old and able to form legally binding contracts. FinLink is not directed to children. We may refuse access to any individual or entity and may change eligibility criteria at any time in our sole discretion.

You agree to provide accurate, complete and current account information. You are responsible for keeping profile, listing, billing, company, practice, licensing and contact information accurate. Inaccurate, stale, incomplete or misleading information may reduce match quality and may result in removal, visibility limits, suspension or termination.

You are responsible for maintaining the confidentiality of usernames, passwords, SSO credentials, multi-factor authentication methods and other account access credentials. You are responsible for all activities under your account, including activity by employees, contractors, assistants, administrators or anyone else using your credentials.

If you suspect unauthorized access, credential compromise or misuse of your account, you must promptly notify FinLink. FinLink is not responsible for losses arising from your failure to safeguard credentials or from unauthorized activity that occurs before you notify FinLink.

4. Memberships, Subscriptions, Automatic Renewal, Billing, Cancellation and Refunds

Some Services are free and others require payment. Fees may apply for membership plans, premium access, listing upgrades, marketplace access, business directory profiles, advertising products, featured placements, recruiting campaigns, enterprise licenses, white-label environments, onboarding, implementation, custom development, data services or other products.

Unless otherwise stated in an order form or checkout flow, paid subscriptions renew automatically for successive billing periods at the then-current rate until cancelled in accordance with FinLink's cancellation process. You authorize FinLink and its payment processors to charge applicable fees, taxes, renewals, upgrades and usage-based amounts.

All fees are generally non-refundable unless required by law or expressly agreed in writing. FinLink may consider refund requests in its sole discretion. Refund decisions may consider time since purchase, usage, membership activity, implementation work, administrative costs, special promotions, plan type and surrounding circumstances.

Cancellation, refund, billing or subscription questions should be sent to support@fin.link unless the dashboard or order form provides a different process. Cancellation requests received after a renewal may apply to the next billing period. Sharing a single-user membership or circumventing paid access limits may result in immediate termination without refund.

  • FinLink may change prices, features and plan entitlements prospectively.

  • Third-party payment processors may process and store payment information subject to their own terms.

  • Failed payments, chargebacks or payment disputes may result in suspension or termination.

5. Profiles, Member Directory, Listings and Visibility Controls

FinLink allows users to create professional profiles and participate in member directories. Profiles and listings may include names, professional identities, company affiliation, title, general location, state, stated networking interests, marketplace intent, practice information and other data the user chooses to provide.

Users determine what information to provide, but some information may be visible to other users, visitors, enterprise administrators or white-label administrators depending on settings, product configuration and user choices. Even where a listing omits name, practice name or direct contact information, users may be identifiable based on the information they choose to provide.

FinLink may determine how profiles, listings and directory results are displayed, ranked, filtered, recommended, demoted, hidden, limited or made searchable. Visibility may be affected by subscription level, listing completeness, user preferences, marketplace rules, AI recommendations, paid placement, administrative controls, user behavior, compliance restrictions or platform integrity rules.

Users are responsible for periodically reviewing privacy settings, listing status, directory visibility and profile accuracy. FinLink may provide opt-out or hide-profile mechanisms, but certain records may be retained for compliance, security, accounting or legal purposes.

6. User Content License and FinLink Content Rights

Users retain ownership of their User Content, subject to the license granted to FinLink. By submitting User Content, you grant FinLink a worldwide, royalty-free, non-exclusive, transferable and sublicensable license to host, store, reproduce, display, distribute, publish, modify, format, translate, excerpt, analyze, create derivative works from and otherwise use User Content to operate, provide, secure, moderate, market, improve and develop the Services.

This license includes use for profile display, marketplace discovery, social feeds, messaging, notifications, search, AI-enabled recommendations, ranking, analytics, benchmarking, advertising products, enterprise reports, customer support, product development and legal or compliance purposes. The license ends when User Content is deleted from active systems, except that FinLink may retain copies in backups, archives, logs, legal records, enterprise archives, de-identified datasets or as otherwise permitted by law.

You represent that you own or have permission to submit User Content and that your User Content does not violate laws, regulations, third-party rights, confidentiality obligations, employment obligations, restrictive covenants, platform policies or professional standards.

FinLink may remove or restrict User Content for any reason, including suspected violation of these Terms, low quality, inaccuracy, duplication, spam, abuse, legal risk, privacy risk, regulatory risk, reputational risk or platform integrity concerns.

7. Social Network Features and Professional Conduct

FinLink's social network may include posts, comments, reactions, follows, connections, mentions, shares, content recommendations, feeds, direct messages, company pages, sponsored posts and related engagement tools. These features are intended for professional financial services discussion and opportunity discovery.

Users are solely responsible for content they post or share and for interactions with other users. FinLink does not guarantee that user-generated content is accurate, complete, current, compliant, suitable or professional. Content may represent the views of individual users, not FinLink.

Users must avoid posting misleading performance claims, unapproved testimonials, prohibited endorsements, non-compliant advertising, client confidential information, personal financial data, unsubstantiated product claims, harassment, discriminatory statements, spam, impersonation or content that violates firm policies or applicable law.

FinLink may use automated and human review to recommend, rank, moderate, remove, label, downrank or limit distribution of content. FinLink may change feed algorithms, content formats, monetization rules, reporting options and moderation practices at any time.

8. Direct Messaging, Communications Logging, Archiving and Supervision

FinLink may provide direct messaging, message request, reply, notification and communication tools. Platform communications may be logged, stored, analyzed, monitored, moderated, archived, exported or made available to authorized enterprise or white-label administrators, depending on product configuration and applicable agreements.

FinLink may log communications and user interactions for transparency, support, security, fraud prevention, spam prevention, compliance support, recordkeeping, dispute resolution, analytics and platform improvement. White-label clients may archive communications as part of compliance oversight programs.

Users should not transmit end-client personally identifiable financial data, client account numbers, Social Security numbers, health information, material non-public information, trade secrets, confidential client records, confidential deal information or regulated non-public information through general messaging tools unless they are authorized and an applicable enterprise workflow expressly governs such use.

Messages may be subject to user reports, enterprise review, legal holds, regulatory requests, litigation discovery, law enforcement requests or platform abuse investigations. FinLink does not guarantee confidentiality of communications transmitted through the Services.

9. Community Standards and Content Moderation Policy

FinLink reserves broad discretion to administer and moderate the Services. We may review, screen, remove, edit, label, restrict, archive, demote, limit distribution of, disable access to or refuse to display any content, account, listing, advertisement, direct message, company page, profile or interaction.

Moderation may occur when FinLink believes content or conduct is unlawful, misleading, inaccurate, harmful, abusive, harassing, discriminatory, infringing, spam-like, low-quality, duplicative, promotional without authorization, non-compliant, reputationally risky, inconsistent with professional standards or otherwise inconsistent with platform goals.

FinLink may use user reports, automated systems, AI tools, human reviewers, enterprise administrator input, legal notices, regulatory inquiries or third-party signals to identify potential policy issues. Enforcement may include warnings, content removal, visibility limits, account restrictions, feature limits, ad rejection, payment suspension, termination or legal action.

FinLink is not obligated to monitor all content and does not assume liability for content it does or does not remove. Moderation decisions are discretionary and may be made without prior notice.

10. Acceptable Use Policy and Prohibited Conduct

Users may not misuse, interfere with, disrupt, burden, damage, attack, reverse engineer, scrape, data mine, crawl, harvest, copy, resell, exploit, spam, phish, compromise, bypass, or attempt to gain unauthorized access to the Services or related systems.

Users may not post or transmit unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive, tortious, explicit, obscene, discriminatory, hateful, infringing, confidential, malware-related, spam-related, gambling-related, impersonating or otherwise harmful content.

Users may not export, compile, reuse, enrich, resell, redistribute or commercially exploit FinLink directory data, profile data, search results, member data, listing data, engagement data, message data or platform analytics outside ordinary platform functions without written permission.

Users may not use the Services to violate securities laws, investment adviser rules, broker-dealer rules, insurance rules, employment laws, fair housing or real estate laws, privacy laws, advertising laws, anti-spam laws, intellectual property laws, restrictive covenants, confidentiality obligations or professional rules.

11. Marketplace Participation Terms and No Guarantee of Outcomes

FinLink provides marketplaces and networking tools to help users discover opportunities and connect with one another. FinLink does not guarantee closed deals, completed hires, successful succession plans, merger outcomes, continuity arrangements, office space transactions, vendor sales, candidate quality, buyer quality, seller quality, advertiser results, leads, responses, revenue, valuation, financing or access to opportunities.

Marketplace listings and user profiles may contain information supplied by users or third parties. FinLink does not independently verify all information, including AUM, revenue, practice metrics, licenses, registration status, buyer capacity, seller intent, financing ability, compensation, employee status, office space details, vendor capabilities or product claims.

Users are responsible for independent diligence. This includes verifying identity, credentials, licensing, regulatory status, financial capacity, references, contracts, deal terms, valuations, lease rights, employment eligibility, data security, compliance obligations and conflicts of interest.

FinLink may remove stale, incomplete, inactive, suspicious or non-compliant listings. FinLink may prioritize active, complete, subscribed, sponsored or higher-quality listings, or listings that are more likely to generate relevant user engagement.

12. M&A, Succession, Continuity, Sunset and Transaction Disclaimers

FinLink is a networking and technology platform only. FinLink is not a broker-dealer, registered investment adviser, investment bank, M&A adviser, business broker, finder, placement agent, valuation provider, lender, law firm, accounting firm, tax adviser, insurance producer or fiduciary.

M&A, succession, continuity, sunset, next-generation, merger, buy-side and sell-side opportunities may involve complex risks, including client consent, privacy, valuation, financing, restrictive covenants, successor suitability, licensing, regulatory supervision, revenue sharing, tax treatment, employment matters, confidentiality, cybersecurity, integration risk and post-closing obligations.

Any calculators, valuation ranges, affordability models, merger simulations, acquisition-readiness tools, succession-readiness tools, match scores, AI recommendations or benchmarking tools are informational only. They are not appraisals, fairness opinions, financing approvals, legal advice, tax advice, investment advice or transaction recommendations.

Users must obtain independent legal, tax, accounting, compliance, valuation, financing and business advice before relying on information or pursuing a transaction. FinLink is not responsible for user negotiations, agreements, diligence, misrepresentations, failures to close, post-closing disputes, payment defaults or regulatory consequences.

13. Recruiting, Jobs, Candidates and Employment Marketplace Disclaimers

FinLink may provide job postings, recruiting marketplace listings, candidate profiles, resume uploads, recruiting campaigns, compatibility scores, suggested candidates, suggested firms, employer pages and recruiting-related messaging. FinLink is not an employer, recruiter of record, staffing agency, employment agency, background check company or agent of any user unless expressly agreed in writing.

Employers, firms, recruiters and candidates are responsible for compliance with employment, labor, anti-discrimination, privacy, compensation, immigration, licensing, broker-dealer, investment adviser representative, insurance, solicitation, restrictive covenant and background check laws. Users are responsible for required notices, consents and compliance approvals.

FinLink does not verify all resumes, licenses, registrations, references, employment histories, production data, compensation, restrictive covenants, disciplinary history or cultural fit. Users must independently verify candidate and employer information.

AI recruiting compatibility or match scores are not hiring decisions and should not be used as the sole basis for employment decisions. Users must apply human judgment and comply with laws governing automated employment decision tools where applicable.

14. Office Space Marketplace Disclaimers

FinLink may allow users to list, search, promote or connect regarding office space, subleases, shared office arrangements, branch locations, coworking space, lease opportunities or similar real estate-related opportunities. FinLink is not a real estate broker, landlord, tenant representative, property manager, title company, insurer, contractor, appraiser or legal adviser.

Users are responsible for verifying availability, lease rights, sublease permissions, zoning, occupancy, building rules, condition, accessibility, pricing, taxes, insurance, signage, security, client confidentiality, regulatory requirements and legal compliance of any office space opportunity.

FinLink does not guarantee space condition, accuracy, title, suitability, safety, availability, pricing, legal compliance or landlord/tenant performance. Users should obtain real estate, legal, insurance and tax advice before entering into leases or space-sharing arrangements.

15. Business Directory, Vendors, Products and Services

FinLink may operate a business directory where companies, vendors and service providers can create pages, describe services, post content, advertise, receive leads, message users, post jobs, sponsor content or participate in marketplace discovery. Directory categories may include technology, compliance, marketing, lending, valuation, recruiting, M&A, practice management and other financial services vendors.

Directory inclusion, paid placement, featured placement, listing spotlight, sponsorship, badge, ranking, recommendation or advertisement does not constitute endorsement, certification, warranty, guarantee or approval by FinLink. Users must conduct vendor diligence and determine suitability independently.

Vendors are responsible for accuracy of claims, disclosures, licensing, testimonials, endorsements, substantiation, pricing, privacy, cybersecurity, service levels, contracts, data processing obligations, and compliance with financial services advertising and solicitation rules.

FinLink may use directory data, interactions, clicks, leads, searches, categories and engagement metrics for ranking, advertising measurement, analytics, product development and aggregated industry intelligence.

16. Advertising, Sponsored Content and Paid Placement Policy

FinLink may sell sponsored content, promoted posts, featured listings, promoted directory placements, display advertising, newsletter sponsorships, event sponsorships, lead-generation campaigns, retargeting, audience-based advertising, sponsored search results, boosted marketplace visibility and other advertising products.

Advertisers are solely responsible for ad content, landing pages, targeting instructions, claims, offers, disclosures, substantiation, approvals, licensing, testimonials, endorsements, performance claims, compensation disclosures, recordkeeping and compliance with SEC, FINRA, FTC, state securities, state insurance, employment, privacy, anti-spam and other laws.

FinLink may review, reject, pause, remove, label, restrict, request substantiation for or require modification of any advertisement or sponsored content at any time. Payment does not guarantee impressions, clicks, leads, conversions, placement, ranking or business outcomes unless a written order form expressly states otherwise.

Sponsored content or paid placement does not constitute FinLink endorsement. FinLink may distinguish paid placements, but the form and prominence of disclosures may vary by product, placement and legal requirement.

17. AI Usage, Automated Recommendations, Calculators, Simulations and Transparency

FinLink may use artificial intelligence, machine learning, large language models, natural language processing, ranking systems, predictive models, scoring tools, calculators, simulations, recommendation engines and automated decision-support systems across the Services.

AI-enabled features may support matchmaking, search, feeds, marketplace recommendations, recruiting compatibility, succession readiness, acquisition readiness, affordability modeling, valuation ranges, merger modeling, benchmarking, business intelligence, profile summaries, listing summaries, personalized dashboards, support responses and content recommendations.

AI outputs may be incomplete, inaccurate, stale, biased, over-inclusive, under-inclusive, based on user-provided errors, or unsuitable for a particular purpose. AI outputs are informational only and are not legal, tax, investment, valuation, accounting, lending, compliance, HR, employment, real estate, insurance, fiduciary or professional advice.

Users must independently verify all AI outputs and may not rely solely on AI outputs for hiring, M&A, succession, investment, valuation, compliance, lending, employment, office space, vendor selection or other decisions. FinLink may update, test, tune, monitor, disable or discontinue AI features at any time.

  • Do not submit confidential client information, regulated non-public information or sensitive personal data into AI features unless expressly authorized.

  • FinLink may use prompts, inputs, outputs, feedback, logs, metadata and platform data to monitor, secure, improve and evaluate AI features, subject to the Privacy Policy and enterprise agreements.

  • AI features may use third-party providers, internal models, automated rules, human review or combinations of these systems.

18. Data Rights, Platform Data, Aggregated Data, Analytics and Benchmarking

FinLink owns or controls Platform Data, analytics, metadata, system logs, de-identified data, aggregated data, derived data, recommendation signals, ranking signals, match scores, benchmarking outputs, statistical models, AI evaluation data and operational insights generated by or through the Services, subject to applicable law and signed agreements.

FinLink may use Platform Data and aggregated or de-identified data to operate, secure, improve and commercialize the Services, including for benchmarking, industry intelligence, analytics, product development, AI training and evaluation, advertising measurement, marketplace reporting, enterprise reporting, fraud prevention and performance optimization.

FinLink does not claim ownership of User Content, but users do not own FinLink's systems, rankings, algorithms, scores, recommendations, analytics, derived insights, de-identified datasets or aggregated benchmarks merely because those outputs relate to their activity or content.

Users may not reconstruct, re-identify, de-anonymize, reverse engineer, scrape or exploit Platform Data except through normal Services functionality and within permissions granted by FinLink.

19. Enterprise, White-Label and Administrative Terms

FinLink may provide enterprise, white-label, private marketplace, branded, compliance-enabled, firm-administered or multi-user versions of the Services. These deployments may include private directories, private M&A marketplaces, private recruiting workflows, enterprise analytics, SSO, user provisioning, data exports, communications archiving, administrative controls, firm-specific branding and customized workflows.

Enterprise administrators may invite users, assign roles, manage access, view user activity, configure private environments, access reports, review or export certain communications, manage listings, approve content, enforce firm policies, receive analytics and administer compliance features depending on the written agreement and configuration.

Enterprise customers are responsible for internal notices, user authorizations, compliance policies, supervision, recordkeeping, regulatory approvals, data submission rights, user administration, SSO configuration, offboarding and determining whether the Services satisfy their legal and regulatory obligations.

If a signed enterprise agreement conflicts with these Terms, the signed enterprise agreement controls for the specific enterprise relationship. Individual users remain bound by these Terms except where modified by the enterprise agreement.

20. Data Processing Addendum and Customer Data Terms

Where FinLink processes personal data on behalf of an enterprise customer as a processor, service provider or similar role, a separate Data Processing Addendum may apply. A DPA may address processing instructions, confidentiality, subprocessors, security measures, incident response, assistance with rights requests, deletion or return, audits and international transfers.

Enterprise customers are responsible for providing lawful instructions and ensuring they have notices, consents, authorizations, lawful bases and rights necessary to submit personal data, employee data, candidate data, advisor data, marketplace data, communications or customer data to FinLink.

Unless a signed agreement states otherwise, FinLink may use subprocessors and service providers for hosting, identity management, analytics, AI features, security, logging, support, communications, archiving, payments, advertising, data storage and other operational purposes.

FinLink may decline processing instructions that it believes violate law, create security risk, conflict with platform functionality or exceed the scope of the applicable agreement.

21. Privacy, Cookie Policy and Communications Preferences

The Privacy Policy describes how FinLink collects, uses, shares, retains and protects information. It includes disclosures for cookies, tracking technologies, advertising, AI-related data, CCPA/CPRA, GDPR/UK privacy rights, retention, legal disclosures and enterprise data practices.

FinLink may use cookies, pixels, tags, local storage, device identifiers and similar technologies for authentication, security, analytics, personalization, advertising measurement, retargeting, attribution, testing, fraud prevention and platform improvement.

Users may manage certain communications and cookie preferences through account settings, browser settings or links in communications where available. Transactional, administrative, security, billing, legal and service-related communications may continue even if promotional communications are opted out.

Use of the Services constitutes consent to receive electronic communications from FinLink. Notices may be provided by email, dashboard notice, website posting, in-app message or other reasonable means.

22. Security, Availability, Maintenance and Platform Administration

FinLink maintains commercially reasonable safeguards designed to protect information, including administrative, technical and organizational controls. Controls may include encryption, access controls, authentication, monitoring, logging, vendor review, incident response, vulnerability management, backup and SOC 2-aligned practices.

No system is completely secure or error-free. FinLink does not guarantee uninterrupted availability, absolute security, delivery of messages, email deliverability, error-free operation, or preservation of all data. Users are responsible for safeguarding credentials and using the Services responsibly.

FinLink may perform maintenance, upgrades, migrations, monitoring, rate limiting, throttling, spam filtering, deliverability management, data cleanup, archiving, deprecation, feature changes and other operational actions without liability.

FinLink may change, suspend, replace, discontinue or modify any feature, product, price, marketplace, AI tool, listing type, algorithm, ranking factor, ad product or enterprise feature at any time.

23. Intellectual Property Rights

FinLink and its licensors retain all rights in the Services, including software, code, databases, APIs, interfaces, designs, dashboards, workflows, algorithms, ranking logic, AI systems, prompts, templates, reports, documentation, trademarks, service marks, logos, trade dress and platform content.

You receive a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal professional or business purposes in accordance with these Terms. No rights are granted by implication, estoppel or otherwise.

You may not copy, reproduce, distribute, modify, adapt, translate, reverse engineer, create derivative works from, publicly display, publicly perform, sell, license, rent, time-share, frame, mirror or exploit the Services except as expressly permitted.

Feedback, ideas, suggestions, enhancement requests or recommendations you provide may be used by FinLink without restriction, compensation or obligation.

24. Copyright and DMCA Policy

FinLink respects intellectual property rights and expects users to do the same. If you believe content on the Services infringes copyright, you may submit a notice under the Digital Millennium Copyright Act.

DMCA notices should include: a physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and its location; contact information; a statement of good-faith belief; and a statement under penalty of perjury that the information is accurate and that the complaining party is authorized to act. Notices may be sent to support@fin.link or to Succession Link, LLC d/b/a FinLink, 350 Lincoln Ave, 2nd Floor, Miami Beach, FL 33139.

FinLink may remove allegedly infringing content without liability and may terminate repeat infringers. Users who submit false notices or counter-notices may be liable for damages under applicable law.

Trademark, publicity, confidentiality, privacy or other IP-related complaints may also be sent to FinLink, but FinLink's response will be discretionary unless legal action is required.

25. Third-Party Services, Links, Integrations and Providers

The Services may include third-party links, integrations, widgets, embedded content, payment processors, identity providers, AI providers, analytics tools, advertising networks, archiving vendors, email vendors, cloud providers, CRM systems, applicant tracking systems or vendor directory listings.

FinLink does not control third-party services and is not responsible for their content, privacy practices, security, performance, availability, pricing, terms, errors, outages, failures or acts and omissions.

Use of third-party services may require acceptance of separate terms and privacy policies. Users are responsible for evaluating third-party services and determining whether use is appropriate for their compliance and business needs.

26. No Professional Advice; User Diligence Obligations

FinLink provides information, networking tools, software and marketplace functionality. FinLink does not provide legal, tax, accounting, investment, securities, financial planning, insurance, lending, valuation, fiduciary, compliance, HR, employment, real estate, cybersecurity or professional advice.

All content, resources, calculators, simulations, AI outputs, valuation ranges, affordability estimates, benchmarks, readiness scores, recommendations, listings, advertisements and communications are informational only. Users must obtain independent professional advice where appropriate.

Users are responsible for diligence, verification, approvals, client communications, regulatory filings, supervisory review, conflict review, privacy review, cybersecurity diligence, contract review, documentation and decisions.

FinLink is not responsible for decisions made based on platform content or user interactions.

27. Regulatory, FINRA/SEC, Books-and-Records and Law Enforcement Requests

FinLink may preserve, access, disclose, export or provide records, messages, listings, ads, content, account information, metadata, logs or other information when FinLink believes doing so is legally required or appropriate to comply with subpoenas, court orders, law enforcement requests, regulatory requests, FINRA, SEC, state securities or insurance regulators, self-regulatory organizations, enterprise compliance obligations, disputes, investigations, safety, fraud prevention or platform protection.

FinLink is not responsible for users' books-and-records, advertising review, testimonial, endorsement, supervision, retention, privacy, licensing or other regulatory obligations. Broker-dealers, RIAs, insurance organizations and other regulated users must determine whether and how to archive, supervise, approve and use communications and content.

Enterprise or white-label customers may use third-party archiving or compliance tools with FinLink. FinLink may support integrations, exports or logs, but does not guarantee that any configuration satisfies any specific regulatory requirement unless expressly stated in a signed agreement.

28. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS." FINLINK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, PERFORMANCE, RESULTS AND COURSE OF DEALING.

FinLink does not warrant that information is correct, that functions will be uninterrupted, that the Services will be free from viruses or harmful components, that messages will be delivered, that emails will reach inboxes, that data will never be lost, or that any user, listing, candidate, vendor, buyer, seller, advertiser or opportunity is authentic, qualified or suitable.

FinLink does not warrant AI outputs, match scores, recommendations, calculators, simulations, valuations, forecasts, benchmarks, advertisements, listings, user content or third-party content. Users assume all risk associated with use of the Services.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINLINK AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, LOST PROFIT, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, REPUTATIONAL, REGULATORY, TRANSACTIONAL, EMPLOYMENT, OPPORTUNITY OR SUBSTITUTE SERVICE DAMAGES.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute or any other theory, even if FinLink has been advised of the possibility of damages and even if a remedy fails of its essential purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINLINK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO FINLINK FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS, UNLESS A SIGNED ENTERPRISE AGREEMENT STATES OTHERWISE.

30. Indemnification

You agree to defend, indemnify and hold harmless FinLink and its affiliates, officers, directors, managers, employees, contractors, representatives, licensors, service providers and agents from and against all claims, demands, losses, damages, liabilities, judgments, settlements, penalties, fines, costs and expenses, including attorneys' fees, arising from or relating to your use of the Services, User Content, listings, ads, transactions, communications, employment activities, marketplace participation, breach of these Terms, violation of law, violation of third-party rights or acts or omissions by your personnel.

FinLink may control the defense of any matter subject to indemnification at your expense. You may not settle a claim in a way that imposes liability or obligations on FinLink without written consent.

This indemnity survives account closure, termination and expiration of these Terms.

31. Suspension, Termination and Survival

FinLink may suspend, restrict, downgrade, remove, archive or terminate accounts, listings, ads, directory pages, posts, messages, enterprise workspaces, white-label environments, access, features or subscriptions at any time, with or without notice, for any reason, including breach, nonpayment, fraud, abuse, inactivity, complaints, security risk, legal risk, regulatory risk, reputational risk or operational needs.

Upon termination, your right to use the Services ceases. FinLink may retain information as described in the Privacy Policy and may maintain records necessary for legal, compliance, accounting, backup, audit, dispute resolution, security, fraud prevention, enforcement and legitimate business purposes.

Sections concerning fees owed, user content licenses, platform data, privacy, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law and general legal terms survive termination.

32. Dispute Resolution, Arbitration, Class Action Waiver and Governing Law

These Terms and any dispute arising out of or relating to FinLink, the Services or your relationship with FinLink are governed by Delaware law, without regard to conflict-of-law principles. Except for small claims, intellectual property claims, equitable relief, collection actions or claims that cannot be arbitrated under law, disputes shall be resolved by confidential binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Wilmington, Delaware, unless otherwise agreed.

YOU AND FINLINK WAIVE THE RIGHT TO A JURY TRIAL. YOU AND FINLINK AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. The arbitrator may not consolidate claims or preside over any representative proceeding unless both parties agree.

Any claim must be filed within one year after the claim arose unless a longer period is required by law. FinLink may seek injunctive or equitable relief in court to protect intellectual property, confidential information, security, platform integrity or data rights.

33. Changes to Terms, Notices and General Legal Provisions

FinLink may update these Terms at any time. Material changes may be communicated by email, platform notice, website posting or other reasonable means. Continued use of the Services after the effective date of updated Terms constitutes acceptance.

These Terms, the Privacy Policy and any applicable written order form, enterprise agreement, DPA, advertising agreement or addendum constitute the agreement between the parties regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect.

FinLink may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets or operation of law. You may not assign these Terms without written consent. FinLink's failure to enforce a provision is not a waiver.

Appendix A: Incorporated Supplemental Policies

A1. Acceptable Use Policy

This policy prohibits unlawful, harmful, deceptive, abusive, discriminatory, infringing, privacy-invasive, spam, scraping, credential sharing, reverse engineering, malware, phishing, automated harvesting, unauthorized data reuse and security-compromising conduct. FinLink may enforce this policy through warnings, feature restrictions, content removals, ad rejection, account suspension, termination, legal action and cooperation with regulators or law enforcement.

A2. Community Standards and Content Moderation Policy

FinLink expects professional, accurate, respectful and relevant participation. Moderation may apply to posts, comments, messages, listings, ads, profiles, company pages and files. FinLink may use automated systems, human review and reports to identify potential issues and may remove or restrict content in its discretion.

A3. Advertising Policy

Advertisements and sponsored content must be lawful, truthful, substantiated, professional, properly disclosed and compliant with applicable financial services, employment, privacy and advertising laws. FinLink may reject or remove ads at any time and paid placement does not equal endorsement.

A4. AI Usage and Transparency Policy

AI features assist with matching, ranking, search, summaries, calculators, simulations, scores and recommendations. Outputs are not advice and may be wrong. Users must independently verify outputs and should not submit confidential client records or sensitive data unless authorized.

A5. Marketplace Participation Disclaimer

FinLink marketplaces facilitate discovery and communication only. FinLink does not guarantee listings, outcomes, transactions, hires, valuations, financing, office space arrangements or vendor performance. Users assume all risk and must conduct independent diligence.

A6. Enterprise and White-Label Terms Addendum

Enterprise deployments may include branded environments, private marketplaces, administrator access, SSO, analytics, compliance archiving and data exports. Enterprise customers are responsible for notices, consents, supervision, recordkeeping, user administration and compliance configuration.

A7. Data Processing Addendum Summary

A DPA may govern processing instructions, confidentiality, subprocessors, security, incident response, audits, deletion/return, international transfers and assistance with privacy rights. This summary is not a substitute for a signed DPA.

A8. Copyright / DMCA Policy

FinLink may remove allegedly infringing content and terminate repeat infringers. DMCA notices should include the statutory elements required by 17 U.S.C. 512 and be sent to support@fin.link.

A9. Law Enforcement and Regulatory Request Policy

FinLink may preserve or disclose records where legally required or reasonably appropriate to protect rights, safety, compliance, security, users or platform integrity. FinLink may cooperate with law enforcement, courts, regulators, FINRA, SEC and self-regulatory organizations.
